Terms and Conditions

1. Scope of Services

1.1 The Client engages Exceptional Tax & Accounting to provide accounting and related services as outlined in the agreed-upon proposal or engagement letter.

2. Client Responsibilities:

2.1 The Client agrees to provide accurate and complete financial information required for the provision of accounting services. 2.2 The Client is responsible for maintaining appropriate supporting documentation for all transactions.

3. Fees and Payments

3.1 Fees for services will be as outlined in the proposal or engagement letter. 3.2 Invoices will be issued at agreed intervals, and payment is due upon receipt of the invoice. 3.3 Installment payments may be subject to increased charges.

4. Confidentiality:

4.1 Both parties agree to maintain the confidentiality of all financial and business information shared during the engagement. 4.2 Exceptional Tax & Accounting will not disclose Client information to third parties without prior written consent.

5. Professional Standards:

5.1 Exceptional Tax & Accounting agrees to perform its services in accordance with professional accounting standards. 5.2 The Client acknowledges that Exceptional Tax & Accounting cannot guarantee specific financial outcomes.

6. Termination:

6.1 Either party may terminate the engagement with written notice. 6.2 Upon termination, the Client agrees to pay for all services rendered up to the termination date.

7. Conflict of Interest:

7.1 Exceptional Tax & Accounting will promptly disclose any potential conflicts of interest that may arise during the engagement. 7.2 If a conflict arises, Exceptional Tax & Accounting and the Client will work together to resolve the issue in an ethical and professional manner.

8. Governing Law:

8.1 These terms and conditions are governed by the laws of New York.

9. Amendments:

9.1 These terms and conditions may only be amended in writing and signed by both parties.

10. Liability:

10.1 Exceptional Tax & Accounting is not liable for any indirect, consequential, or incidental damages arising from the engagement.

11. Communication:

11.1 The parties agree to communicate effectively and promptly to ensure the success of the engagement.
